1. Dhananjay patil approached us trough mutual friend for the discussion of project. Discussion was about the project and companies he is looking to do his work.

2. we were not agreed on points focused by dhananjay patil in an email written by him to us on ......
so we didnt reply to the email , all those points were supposed to discuss in meeting with dhananjay during his visit to india. The points under approach paper were supposed to be agenda of meeting.
We were not agree with the approach paper as there were no benifits for the company . He wanted us to continue the existing operations under testq tech pvt ltd india.

3.We didnt finalize any terms and conditions . There were conditions from our side like he was going to take care of companies previous debts , personal loans and other liabilities before closure of PRCV SOFT LLP which never discussed again.

4. Dhananjay patil told us that , sunil patil and ram auti will be removed from directors body after appointing us (ajinkya, vinod ,pandurang) as Directors of textq tech. He did not remove mr. sunil patil from directors body.

5. We were not aware of sunil patil's appointment as authority director.

6.He wanted to increse the team capacity , so he suggested us to move team to new office with minimum capacity of 30-40 sittings. INR 200000 was spend on rent and deposit. Rent agreement was done under textq tech pvt ltd india. With increase team capacity and office ,there was need of new machines , so he suggested us to buy new computers. We purchased 9 computers for testq tech with his authentication worth rs 200000.
All trasactions done through debit card was made with proper authentication of Dhananjay and sunil patil . Every trasactions like cheques , internet banking needed sunil patil's signature. All trasactions details were acknowledged by owners and directors of testq , right after trasactions were made. Every trasaction details were maintained in exel sheet was uploaded to dhananjay patil's google drive. This exel sheet was shared with directors and owners of the company.
No trasactions were made for personal benifit as every transaction was transperant and authenticated. There was no misuse of funds sent by dhananjay.
Every operation in all sections of company was reported to dhananjay patil on weekly basis through skype call. Mr sunil patil hardly visit office with no perticular reason or intention.

7. Dhananjay patil forced us not to use any accounts of PRCV SOFT like marketing , development and socil media accounts which were used for business generation as main source of business development. He asked us to setup all accounts under testq tech. This is the main reason because of which we coudnt bring much business as each accounts was new.
This complete situation was discussed with dhananjay patil befor proceeding. He agreed on that and blamed us for not generating business even though this will happen.
Still we managed to bring business of Rs 1,38,000 for testq tech india.

8. All transactions were made with proper authentication and acknowledgement of TESTQ tech. This includes expenses like office rent, employee salaries,client meeting expenses and other office expenses.All transactions were maintained in exel sheet.
As promised , dhanajay patil was going to clear the personal loan before second week of november , so Mr vinod requested him to clear loan amount. Amount of rs 150000 was deposted to vinod morkile's personal account which later returned by him to testq tech.

9. All transactions were maintained in google sheet with email id :
all these sheets were provided to mr. gaurav time to time.exel sheets were shared with dhananjay and sunil patil also.
As mentioned in notice transaction of rs. 5,80,000 never happened using debit card. This is not true.
Transaction made through debit card was of amount of rs 2,08,500. This is also maintained in bank statments and exel sheet.

10.sunil patil was authorized person to do all transactions . Every transaction was discussed with sunil before proceeding. He posted details of each transaction on whats app group as he gets sms of each transaction.
all the operations were conducted under testq such as online,offline marketing, Billing, support,admin,development. Rent agreement was under testq tech. New employment was under testq. Dhanajay knew about all the lead generation and conversion for business .
All branding material like boards, employee id cards , emails was of testq.
Claim of dhanajay that PRCV SOFT was operating is completly false.
Mr. dhanajay patil asked us to write an email about the installments as he promised us to transfer all assets purchased for testq to PRCV SOFT.
In good faith we were agree to return the amount accepting our loss of rs 15 lakh.

11.we had no idea that dhanajay was in india at that time. He called vinod for meeting which was unexpected.
In meeting he was discussing about the money he invested in his company and asked us to pay the money back. There were total 6 people in meeting which are Dhananjay patil , sunil patil , unknown person , Ajinkya , Pandurang , Vinod.
There was no discussion about the cheques. They were asking us for the money.
