يقدم طلب التسجيل إلى سجل الشركات مرفق
ًا ألحكام هذا القانون واألنظمة والتعليمات التي تصدر بموجبه، على أن يتضمن عقد التأسيس
وفق
اآلتي:
. اسم الشركة.
. أسماء الشركاء وجنسية كل منهم وتاريخ ميالده وعنوانه الفعلي أو البريدي أو اإللكتروني.
. المركز الرئيس للشركة.
. غايات الشركة.
هـ. مدة الشركة إذا كانت محدودة.
. اسم الشخص أو األشخاص المفوضين بإدارة الشركة والتوقيع عنها وصالحياتهم إذا لم يكن
جميع الشركاء مفوضين بإدارة الشركة بشكل منفرد.
.2 يمكن أن يشتمل عقد التأسيس على األحكام المبينة أدناه دون الحاجة لتسجلها في سجل الشركات:
. األحكام الخاصة في األمور المتعلقة بالتصويت.
. األحكام الخاصة في األمور المتعلقة بالمساهمات اإلضافية.
. األحكام الخاصة في األمور المتعلقة بانسحاب وإخراج ووفاة الشركاء.
. األحكام الخاصة في األمور المتعلقة بتوزيع األرباح والخسائر ما بين الشركاء.
هـ. أي من األمور األخرى التي يعتبرها الشركاء ضرورية شريطة عدم مخالفتها ألحكام
هذا القانون.
.3 ً على الشركة تثبيت التغييرات في سجل الشركات خالل خمسة عشر يوما من تاريخ موافقة
الشركاء، بحيث تتبع إجراءات التسجيل والنشر المقررة في هذا القانون، ويتم نشر التعديل
في سجل الشركات.
