Rättviseprincip vid licensering
Hur hittar vi ett pris inom fönstret (mellan säljarens golv och köparens tak) som är ”rättvist”? Jo,
man vill jämställa avkastningen på sina respektive investeringar. Dvs. RRoIb = RRoIs.
Rate of Return on Investement Fairness
Hur förhandlar vi fram ett pris så att både köpare och säljare av en licens får samma RRoI?
RRoI (seller) = (L - I) / I där I = investeringen i R&D, L = betalningen för licensen
RRoI (buyer) = (Πop - L - I) / I där I = investerinar i marknadsföring m.m, Πop = operationens
vinster, L = kostnaden för licensen
Sätt RRoI för seller och buyer lika med varandra och lös ut L. Πop = Royaltybaser, uttrycket framför
blir Royalty rate.
L = (I(s)/(I(s)+ I (b)) * Πop
Huruvida om ”sunk costs” ska tas med i dessa beräkningar eller inte kan diskuteras. Men vi kan i
alla fall dra slutsatsen: 25%-regeln gäller EJ! Dessutom har vi löst ett generellt principal agent
problem. Detta eftersom den p/q-kombo som köparens vinst maximeras med även maximerar
säljarens vinst. Säljarens vinst är ju direkt beroende av L som är direkt beroende av Πop
(köparens vinst). Med detta resonemang är 70/10 lämplig prisfördelning i taxi/bussfallet. (båda
tjänar 10 kr).
