수출입은행이 보유 중인 외환은행 지분에 대해 ‘태그얼롱’ 권리를 행사하기로 했다. 태그얼롱은 외환은행 대주주인 론스타가 주식을 팔면 수출입은행도 보유 주식을 같은 가격에 팔 수 있는 권리다. 수은은 지난 22일 이사회를 열어 보유 중인 외환은행 지분 6.25%에 대해 태그얼롱 권리를 행사하기로 결의했다고 24일 밝혔다.
수출입은행 관계자는 “하나금융이 자금을 확보하고 있고 시장 상황도 예전과 많이 다르다”며 “수출입은행의 이익을 극대화하는 차원에서 권리를 행사하기로 결정했다”고 말했다. 수출입은행은 외환은행 지분 매각에 따른 차익 2200억원 가량을 확보하게 될 예정이다.
수출입은행은 지난 2월 태그얼롱 권리를 행사하지 않는 대신 하나금융의 외환은행 인수 후 6~12개월 사이 수출입은행이 지분을 팔 수 있는 ‘풋옵션’을 행사하기로 하나금융과 합의했다. 하나금융은 수출입은행이 이 옵션을 행사할 경우 외환은행 주당 인수가격(1만4250원)에 연 7%의 이자율을 더해 금전적인 보상을 해주기로 했다. 하나금융은 당시 이 같은 내용을 담은 합의서를 체결함으로써 외환은행 지분 인수 최종계약을 앞두고 추가로 자금을 조달해야 하는 부담을 덜었다.
수출입은행 관계자는 “지난 2월에는 풋옵션이 매각 차익 극대화에 유리했지만 지금은 외환은행 매각과 관련해 법적 문제 등 변수가 많아 태그얼롱 행사가 낫다고 판단했다”고 말했다.
