但由於合同合同債僅是一種私權利，法律對私權利的保護，主要依據就是當事人之間訂立的合同。 所以，起草或審核合同的時應注意發生合同糾紛的法律風險，盡可能在合同中將雙方的權利義務及違約責任條款約定清楚。 以明確請求權的法律依據，及避免舉證障礙，避免法官濫用自由裁量權的不確定因素。
