1. Grant of License
Licensor hereby grants Licensee a non-exclusive license to use the musical composition and sound recording titled above for the purpose of creating a derivative vocal work ("The Song").
2. Usage Rights & Limitations
This lease permits the Licensee to use the beat under the following terms:
• Audio Streams: Up to [e.g., 100,000] streams on platforms like Spotify and Apple Music.
• Distribution: Up to [e.g., 2,500] digital/physical copies sold.
• Music Videos: One (1) non-monetized or monetized music video allowed.
• Performances: Non-profit performances are permitted; [Insert $ Amount] limit on for-profit performance earnings.
• Radio Broadcasting: Limited to [e.g., 2] non-commercial radio stations.
3. Ownership & Credit
• Ownership: Divine Melodiez maintains full copyright ownership of the instrumental. Trxp owns the lyrics and vocal performance of "The Song."
• Credit: Licensee must provide credit in all metadata and written materials as: "Prod. by Divine Melodiez".
4. Royalty Split
Unless otherwise negotiated, the parties agree to the following Performance Rights Organization (PRO) splits for the composition:
• Producer (Divine Melodiez): 50%
• Artist (Trxp): 50%
5. Term & Termination
This license is valid for [e.g., 2 years] from the effective date. If the streaming or sales limits are exceeded, the Licensee must purchase a new license or an Unlimited/Exclusive license.
