Developer Services Agreement

Between:
Simit development company (referred to as developer)
and
Oliver James Maggs - Director of Gambly LTD (referred to as client)

This document represents a mutual specifications agreement between the developer and client for the full development and maintenance of Gambly.com/Gamb.ly.

The development team will be responsible for all bugs, glitches and technical errors that arise for the indefinite period of gamblys business practise.

The website will be coded from scratch using angular.js language with no replication or duplications from other copyright entities. Any copyright fees or fines triggered by the result of code malpractice will be at the sole liability of the developer.

The client has agreed to send the full website design (externally paid for by client) in PSD format to the developers in specified layers.
The client has agreed to pay the hosting and registration fees for gambly.com, including any 3rd widget integrations and support systems. (E.g. Live chat, gleam.io competitions).

The developers have a time slot of 2 months from milestone payment #2 (see below) to create the full website and have it fully functioning for launch. Failure to complete the listed specifications within this given time frame will entitle the client a partial inconvenience refund of £2000.00 GBP.

The developers agree that post milestone payment #3 (see below), all files, materials and code must be sent to the client. Whilst the developers will have access to the code, under no circumstances are they allowed to use, share, distribute, copy or sell this code. The website database is strictly confidential and at the sole ownership of the client.

Milestones

Milestone payment #1: £1000.00 – Prior to any development. Sent post DSA.

Milestone payment #2: £3000.00 – Post backend dashboard completion of admin section.

Milestone payment #3: £4000.00 – Post completion of full project.

Specifications as mentioned in the agreement can be found on the development specifications file.

Any developers associated or having admin access will NOT be allowed to place bets, withdraw or deposit on Gambly to prevent fraud and conform to Costa Rica gaming regulations.

It is agreed by the developers and the the client that the following countries will be IP blocked from Gambly.com:

The client has the ultimate choice to remove the developers from access to the Gambly backend and/or the team without providing information as to why.

Sounds and/or audio used on Gambly.com must be copyright free, purchased or given owner’s permission for use.

The developers will not be allowed access to the Gambly.com domain name, emails or any 3rd party platforms associated with the website. The developers will provide a transfer protocol in which the domain will point to the specified DNS codes.

Unforseen costs on the developers side must be paid by the developer. The payments stated on this agreement are final and will not be liquified.

The developer will NOT be allowed to alter or distribute users balances, personal information or contact any users without the clients written consent.

Conversations via Skype IM/VOICE and all emails will be recorded by the client and stored confidentially.

Christopher G Bass will be appointed as the “client” if Oliver James Maggs dies.
