Kanuni devir hakkının şartları;
- Bir alacak hakkı söz konusu olmalı, alacak belirli ve niteliği itibarıyla devre elverişli olmalıdır.
- Söz konusu alacak, vekilin kendi adına ve vekalet veren hesabına gördüğü işlerden doğan üçüncü kişilerdeki alacak olmalıdır.
- Vekalet veren, vekile karşı vekaletten doğan bütün borçlarını yerine getirmiş olmalıdır.
Alacak hakları bakımından, bu şartlar gerçekleştiği anda alacak hakkı alacağın devri sözleşmesi yapmak gerekmeksizin kanun icabı doğrudan doğruya vekalet verene geçer.
Taşınır mallar bakımından, tüm borçlarını ödeyen vekalet veren, vekilden mülkiyetin devrini isteme hakkını elde eder. Aksi halde bir dava açarak mülkiyetin kendisine geçirilmesini ister, hüküm kesinleşince mülkiyet hakkı vekalet verene geçer.
Taşınmazlar bakımından da yasal devir hakkı yoktur. Vekil dolaylı temsil yoluyla kazandığı taşınmazların mülkiyetini ancak tapuda yapılacak tescille vekalet verene devredebilir. Tescil talebinin hukuki sebebini vekille yapılan vekalet sözleşmesi oluşturur. Bu borç vekilin yasal borcu olduğu için resmi şekle gerek yoktur. Vekil mülkiyeti devretmediği takdirde vekalet veren onun aleyhine mülkiyetin devri davası açabilir.
