Board Member, Committee Member and Management Company: Working Relationships
Committee structure is completely important to the effectiveness of the Association. There are occasions in which the dynamics and reporting or working relationships between Board members, Committees and Management become muddy and the outcome is often frustration along with a feeling of wasted effort and time by all parties involved.
A refresher course is oftentimes to be able to bring the team back together.
Roles: Committees
The Board expects Committees to help the Board in gathering essential information; research issues and supply recommendations; assist the Board in maintaining standards; aid in achieving financial objectives; utilize management to coordinate with all the Board along with other committees.
Committees are not permitted by most Governing Documents or from the Committee Charters to bind the Association to contracts, financial commitments, or another binding agreement.
Committee charters should periodically be reviewed to align the actual Board's charge to every committee. This is the foundation of the Committees responsibility and will be clearly understood by the sitting committee. Likewise, there needs to be periodic report on the committee's task list include them as employed in concert with the Boards objectives.
Roles: Management
The Board expects Management to help you and facilitate the task of committees; coordinate issues between committees; receive committee reports and coordinate recommendation with all the Board; advise committees along with the Board of CC&R and Bylaw requirements as necessary; execute the decisions from the Board
Management should be an overseer or facilitator to guarantee the Committees and Board are following governing documents from the community. In addition, Management is liable for ensuring the vision and direction of the Board is followed. In an ideal case, Management will be a consensus builder. In an imperfect world, Management is going to be charged while using obligation of reporting towards the Board and Committees when their paths are straying in the association documents or State laws. At theses times, Management will make recommendations on the Committees and Board. In some cases, the recommendations will likely be a clear path of guidance; in others it will probably be to seek the recommendation of counsel.
In a relationship building process, it will be expected that Committee members, volunteer groups, advocated or individual Board member usually do not consciously as Management to complete tasks or services which is broadly known the Board doesn't want or won't approve but comes from personal agenda. Everyone needs to follow to processes. This process protects the Associate as well as its members from liability.
Teamwork
Committees meet independently, assisted, facilitated, and advised by management. Neither the Committee nor the Staff has any authority to do something about the decisions in the Committee. Committees and Management really are a team which support in the Board. Board makes all official decisions to undertake counsel from the committees, but doesn't have obligation to adhere to committee recommendations.
Communication
Management provides background information to accompany committee recommendations. Committees and Management need to be employed in a cooperative effort to supply the Board factual and finish information. In many cases committees should are employed in harmony with one another to make certain their recommendations could be fully supported financially and operationally.
Committees and Management cannot nullify any action with the Board. The committee has the responsibility to provide the facts, then to increase state the committees support or non-support of the issue, along with the reasons the committee supports or will not support a problem, in order to permit an informed decision.
One final thought, please be reminded that homeowners sometimes act upon what is termed a "good faith opinion." In this scenario an individual features a conversation with a person who has expressed or implied authority to represent the Association generally a committee volunteer, Board member or person on the management staff. anchor in line with "this is going to be fine" or "we causes it to be okay" and even "yes, you're able to do that" becomes the impression to the homeowner that they have approval. The courts could rule the homeowner acted based on a good faith opinion. The Association will then be left minus the ability to act differently.
It is by fully developed working relationships that all three parties Committees, Boards and Management can effectively implement the vision and mission statements of your successful community.
