Overview and Acceptance
The following are terms of a legal agreement between you and Itzo Logistic and Technical Services Ltd. its affiliates and subsidiaries (individually and collectively, “Yepi Dance”, and “Terms”, respectively).
You affirm that you are at least at the age of 13, as the Application (as defined below) is not intended for children under 13.
By accessing, browsing, or using this application or website (the “Application”), you acknowledge that you have read, understood, and agree to be bound by these Terms and the privacy policy at http://www.yepi.com/privacy.php (“Privacy Policy”) and to comply with all applicable laws and regulations. If you do not agree to these Terms or the Privacy Policy, please do not use the Application. Yepi Dance may, without notice to you, at any time, revise these Terms and/or the Privacy Policy and any other information contained in the Application by updating this posting. Please check this page regularly to ensure you are familiar with the current version of the Terms.
If you have any suggestions about these Terms, please feel free to contact us through the Application.
User Conduct
You are solely responsible for all user materials posted or distributed by you or in connection with the Application, including any photos, email messages, and for all your interactions with other users.
You must not use the Application in any way that causes, or may cause, damage to the Application or impairment of the availability or accessibility of the Application; or in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity. You must not use the Application to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, trojan horse, worm, keystroke logger, rootkit or other malicious computer software. You must not use the Application to transmit or send unsolicited commercial communications.

Collaborative Content
Your use of any Collaborative Content is subject to the following additional terms and conditions: (i) the permission for you to use Yepi Dance Content to generate Collaborative Content or otherwise in association with user materials is expressly limited to Yepi Dance Content specifically made available by Yepi Dance for that purpose, and may be revoked by Yepi Dance at any time without notice or liability to you; (ii) your use of Collaborative Content is subject to this Agreement and any additional terms and conditions as Yepi Dance may from time to time prescribe; (iii) you must always include and keep intact, and not remove or alter, any and all of Yepi Dance’s, its affiliates or licensors/suppliers’ trademarks, copyrights and other proprietary rights notices, legends, watermarks, and other markings contained or embedded in or otherwise accompanying Collaborative Content (or any Yepi Dance Content portion thereof); and (v) you agree not to engage in spamming or other unlawful or controversial behavior in connection therewith.
In addition, your User Content (and its publication on the Application) must not: (a) be libelous or maliciously false; (b) be obscene or indecent; (c) infringe any copyright, moral right, database right, trade mark right, design right, right in passing off, or other intellectual property right; (d) infringe any right of confidence, right of privacy, or right under data protection legislation; (e) constitute negligent advice or contain any negligent statement; (f) constitute an incitement to commit a crime; (g) be in contempt of any court, or in breach of any court order; (h) be in breach of racial or religious hatred or discrimination legislation; (i) be blasphemous; (j) be in breach of official secrets legislation; (k) be in breach of any contractual obligation owed to any person; (l) depict violence in a explicit, graphic or gratuitous manner; (m) be pornographic or sexually explicit; (n) be untrue, false, inaccurate or misleading; (o) consist of or contain any instructions, advice or other information which may be acted upon and could, if acted upon, cause illness, injury or death, or any other loss or damage; (p) constitute spam; (q) be offensive, deceptive, threatening, abusive, harassing, or menacing, hateful, discriminatory or inflammatory; or (r) cause annoyance, inconvenience or needless anxiety to any person.
Your User Content must be appropriate, civil, tasteful and accord with generally accepted standards of etiquette and behavior on the internet.
You must not use the Application to link to any website or web page consisting of or containing material that would, were it posted on the Application, breach the provisions of these Terms.
You must not submit any User Content to the Application that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint.
Yepi Dance reserves the right to edit or remove any material submitted to the Application, or stored on our servers, or hosted or published upon the Application.
Notwithstanding our rights under these Terms in relation to User Content, Yepi Dance does not undertakes to monitor the submission of such content to, or the publication of such content on, the Application.
In these Terms, “Content" means and includes, without limitation, photos, images, artwork, graphics, videos, audios, animations, text, editorials, comments, writings, personal information, music, liner notes, lyrics, and other elements and materials, in any media or format now known or hereinafter devised, whether physical, electronic, digital, analog or otherwise.
In these Terms, “Collaborative Content" means any Content that results from users incorporating User Content into the Application Content as the functionality of the Application may allow and enable from time to time.
In these Terms, “User Content” means material (including without limitation text, images, audio material, video material and audio-visual material) that you submit to the Application, for whatever purpose.
Proprietary Rights
You acknowledge that Content on the Application, is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws.
Yepi Dance, its affiliated websites or applications and all Yepi Dance Content may not be copied, reproduced, republished, uploaded, posted, transmitted, or distributed without Yepi Dance’s prior written consent. The Collaborative Content may be used or distributed by you only in object code form as shall be made available by the Application for that purpose.
Notwithstanding any other provision of these Terms, Yepi Dance does not grant you any express or implied rights or licenses under any patents, trademarks, copyrights, or other proprietary or intellectual property rights, including, without limitation, with respect to the source code of Yepi Dance Content.
You acknowledge and agree that Yepi Dance and/or its affiliates are, and shall at all times remain, the sole and exclusive owner(s) of all right, title and interest (including, without limitation, copyright), in and to the Application, all Yepi Dance's trademarks, and all Yepi Dance Content, and that your right to use the Application, Yepi Dance's trademarks, and any Yepi Dance Content, as set forth herein, shall be for personal, non-commercial use only and shall not in any way transfer or convey any ownership rights or other proprietary interests therein to you.
Third Party Content
The Application may include links and access to third party websites and content (“Third Party Content”). Any access to Third Party Content is made at your own risk. Yepi Dance is not responsible for and does not endorse or accept any responsibility for Third Party Content, associated links or services associated therewith, and shall not be responsible for any loss, injury, claim, liability or damage of any kind resulting, directly or indirectly, from any Third Party Content.
Advertising
Yepi Dance takes no responsibility for third party advertisements which are posted on the Application, nor does it take any responsibility for the goods or services provided by its advertisers.

Disclaimer of Warranty
USE OF THE APPLICATION IS AT YOUR SOLE RISK. ALL MATERIALS, INFORMATION, PRODUCTS, SOFTWARE, PROGRAMS, AND SERVICES THAT MAY BE PROVIDED ON THE APPLICATION, ARE PROVIDED "AS IS," WITH NO WARRANTIES OR GUARANTEES WHATSOEVER. YEPI DANCE EXPRESSLY DISCLAIMS TO THE FULLEST EXTENT PERMITTED BY LAW ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, GUARANTEES, OR REPRESENTATIONS, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY AND INTELLECTUAL PROPERTY RIGHTS. WITHOUT LIMITATION, YEPI DANCE MAKES NO WARRANTY OR GUARANTEE THAT THE APPLICATION WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
YOU UNDERSTAND AND AGREE THAT IF YOU DOWNLOAD OR OTHERWISE OBTAIN MATERIALS, INFORMATION, PRODUCTS, SOFTWARE, PROGRAMS, OR SERVICES, YOU DO SO AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES THAT MAY RESULT, INCLUDING LOSS OF DATA OR DAMAGE TO YOUR COMPUTER SYSTEM.
Limitation of Liability
IN NO EVENT WILL YEPI DANCE BE LIABLE TO ANY PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES OF ANY TYPE WHATSOEVER RELATED TO OR ARISING FROM THE APPLICATION OR ANY USE OF THE APPLICATION, OR OF ANY SITE OR RESOURCE LINKED TO, REFERENCED, OR ACCESSED THROUGH THE APPLICATION, OR FOR THE USE OR DOWNLOADING OF, OR ACCESS TO, ANY MATERIALS, INFORMATION, PRODUCTS, OR SERVICES, INCLUDING, WITHOUT LIMITATION, ANY LOST PROFITS, BUSINESS INTERRUPTION, LOST SAVINGS OR LOSS OF PROGRAMS OR OTHER DATA, EVEN IF YEPI DANCE IS EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS EXCLUSION AND WAIVER OF LIABILITY APPLIES TO ALL CAUSES OF ACTION, WHETHER BASED ON CONTRACT, WARRANTY, TORT, OR ANY OTHER LEGAL THEORIES.
Indemnity
You agree to defend, indemnify and hold harmless Yepi Dance, its affiliates, and their respective officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses (including, but not limited to, attorney's fees) arising from: (i) your use of the Application; (ii) your violation of these Terms; or (iii) your violation of any third party right, including without limitation any copyright, property, publicity or privacy right. This defense, hold harmless and indemnification obligation will survive these Terms and your use of the Application.
General
These Terms are governed by the laws of the State of Israel without regard to the conflict or choice of law rules thereof. The competent courts of the district of Tel- Aviv, Israel shall have exclusive jurisdiction over any dispute arising hereunder.
These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Yepi Dance without restriction or notification to you.
Use of the Application is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms. Without derogating from the aforesaid, if any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Terms shall continue in effect.
